Terms of Service

Effective 2026-06-13.

1. The agreement

These Terms govern your use of Simple Council, operated by Simple Intelligence Group, Inc. ("Simple Intelligence"). By creating a workspace, signing in, or POSTing token-usage events, you accept these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it.

2. Free for 1 user

Simple Council is free for one user, forever, subject to the agent and blueprint quotas published at /pricing. Adding a second user requires a paid plan. The free tier carries no SLA.

3. Acceptable use

• You will not use Simple Council to violate applicable law.
• You will not attempt to access another workspace's data, circumvent tenant isolation, or test our security without prior written consent.
• You will not upload evidence containing the prompts or outputs of another organization without their permission.

4. Customer data

You retain ownership of your customer data. We process it only to deliver the service and as described in the Privacy Policy. The auditor export pack is your property; you may share it with regulators, auditors, or anyone else without notice to us.

5. White-label

Paid plans may rebrand Simple Council's customer-facing surfaces under the seven brand* fields exposed in workspace settings. Marketplace listings, Stripe Checkout, and legal pages are exempt and always show Simple Intelligence branding because the legal counterparty is Simple Intelligence.

6. Subscriptions and billing

Plans renew automatically. You may cancel any time from the workspace billing surface or by writing to support@simpleintelligence.io; cancellation takes effect at the end of the current billing period. Enterprise plans transacted via Azure Marketplace follow the Marketplace billing terms.

7. Suspension and termination

We may suspend a workspace that materially breaches these Terms or that is more than 30 days delinquent. We will give 7 days' notice except in the case of an active security incident. On termination, your workspace and tenant-scoped data are deleted within 30 days; the deletion is irreversible.

8. Warranty disclaimer

Simple Council is provided "as is". We disclaim implied warranties to the maximum extent permitted by law. Council surfaces compliance evidence; it is not a substitute for legal counsel or a certified auditor.

9. Limitation of liability

Neither party is liable for indirect, consequential, or punitive damages. Each party's aggregate liability under these Terms is capped at the fees paid in the twelve months preceding the claim.

10. Governing law

These Terms are governed by the laws of the State of Delaware. Disputes are resolved in Delaware state or federal courts unless an Azure Marketplace agreement specifies otherwise.

11. Changes

We may amend these Terms. We will email workspace admins 30 days before a material change takes effect.
